General Terms of Use

Welcome to VSB – Powered By VSisters Private Limited

These Terms of Use ("Terms") govern your use of VSB mobile applications, websites, products, content, facilities, and platform (collectively, the "Platform").

You form a contract with us ("VSB", "we", "us" or "our") when you confirm that you accept these Terms or when you otherwise use the Platform. Our privacy practices are described in Privacy Policy.

1. Independence for Female Drivers. Choices for Passengers

Our Business Model

Our Platform links independent third-party providers of transportation, logistics, or courier services ("Drivers") and their clients ("Passengers") with each other. When Passengers request a ride, they offer their price for the Driver's services. The Drivers who see the request can either agree to the offered price or make a counteroffer.

The Passenger is free to choose the Driver from the list of Drivers who indicated their interest in accepting the request. A separate agreement is formed between the Driver and the Passenger when the Passenger confirms the ride.

The Passenger must pay the Driver the price that both of them agreed on via the Platform we provided or by cash. This agreed price includes all charges associated with the ride (fees, tolls, levies, taxes, etc.). VSB doesn't participate and doesn't in any way affect the settlement between the Driver and the Passenger.

VSB – Powered By VSisters Private Limited Status

VSB is a technology company that does not provide transportation, logistics, courier, or any related services ("Services"). These Services are provided by independent Drivers with the use of our Platform. Any decision to offer or accept the Services is an independent decision made in each user's sole discretion at user's own risk. VSB does not direct or control Drivers generally or in their provision of the Services. Any feature, process, or other effort, that we undertake to enhance your enjoyment of our Platform, is not an indication of any employment or agency relationship with any user.

These Terms do not supersede or otherwise impact the enforceability of any agreements Passengers may have with Drivers regarding the Services.

Refund Policy and Payment Method

VSB may charge Drivers a license fee for using the Platform. We may change the license fee amount from time to time. Your continued use of the Platform will constitute your acceptance of the updated fees.

The license fee is charged for each completed order. Payments are recorded in your personal account, and you can find the current amount of the license fee in your personal account.

A license fee for a completed order is charged when the Driver sends an offer and the Passenger agrees to the fare and accepts the ride. Ride fees will be charged from your app wallet based on the total fare of the ride according to the license fee. The fee rate may be changed by VSB from time to time, and your continued use of the Platform constitutes acceptance of the updated commission rates.

If the Passenger cancels the order or does not appear, the payment is refunded to your app wallet. In this case, you should click "The passenger didn't come out." Refunds in such cases may take up to 30 days after the order is canceled and reviewed by VSB – Powered By VSisters Private Limited. We do not refund money back to your bank account, but the points/amount/wallet balance shown in your app personal wallet can be refunded if the Passenger cancels the ride, the Passenger does not show up, or for other reasons mentioned in this policy.

In case there are unused funds in your account and you are not active again within 3 years, VSB has the right to debit them.

Drivers will not be able to send an offer or accept a ride if their wallet balance is less than the ride commission of the total fare for that ride. Ensure your wallet has sufficient funds to continue using the Platform seamlessly.

Drivers are responsible for the collection and remission of all applicable taxes associated with the Services through the use of the Platform. VSB will not be held accountable in relation to any transactions between Passengers and Drivers where tax-related misconduct has occurred.

Bonuses and Offers

VSB, at its sole discretion, may, from time to time, make available promotions, discounts, referral programs, and loyalty programs (hereinafter – Offers) with different features to any Passenger or Driver. Such Offers may affect or be applied towards service payments or ride prices, reducing said amounts, and are made in Bonuses.

Bonuses are valid only for use in the VSB app, are not transferable, or redeemable for cash. Bonuses can be used to pay for the license fee on Drivers' orders.

More information regarding Offers may be provided in a notice inside the app or by any other means of communication mentioned in these Terms. VSB also reserves the right to withhold or deduct Bonuses or other benefits obtained through Offers in the event that VSB determines or believes that the redemption of the Offer or receipt of the Bonuses was in error, fraudulent, illegal, or in violation of the applicable promotion or these Terms. VSB reserves the right to terminate, discontinue, modify, or cancel any Offers at any time and in its sole discretion without notice to the user.

2. Payment Transactions

2.1. General Terms

With the Platform, the Client can make an offer to Drivers, which includes a request for a specific route to their destination and the fare the Client is willing to pay to a Driver, and/or the fare the Client is willing to pay to a Driver for a courier service. When a Driver accepts a request in response to a Client's offer, this constitutes the Driver's intention to enter into a contract with the Client, where the Driver will provide the Client with the service in exchange for payment of the offered price.

Alternatively, a Driver can counter the Client's initial offer with a new fare that the Driver is willing to accept for payment for the specific route and/or the courier service. When a Client accepts a Driver's counteroffer, this constitutes the Client's intention to enter into a contract with the Driver, where the Client will pay the Driver the countered fare in exchange for the service.

The VSB payment system is a system under which a Client makes a suggestion for a ride's price or service price, and the ride request is confirmed only if the Client and the Driver both accept the quoted price.

Designated Payment Wallet Method

Clients and Drivers are required to use the designated payment wallet method integrated into the VSB Platform to request, accept, and pay for rides and/or courier services.

For now, VSB does not support credit/debit card payments. When credit/debit card payment methods are introduced in the future, the applicable credit/debit card policies will apply.

Each Driver must provide and maintain a valid, legally established bank account with an authorized deposit-taking institution in order to use the Platform and accept a ride and/or courier service request.

Payment Authorization

By using the designated payment wallet method, you agree that:

• You are authorized to use the designated payment method, and
• You authorize us, or our payment processor, to charge your designated payment wallet for applicable fees.

Insufficient Funds

If you are a Client and have an insufficient amount of funds in your designated payment wallet to complete a ride and/or a courier service request, we may, at our sole discretion, cancel the entire ride, ride request, and/or courier service request.

Recommended Price

VSB may provide a recommended price. These rates are based on the time a ride or delivery is requested and the area which has been selected. The recommended price is for informational purposes only and does not force Clients and/or Drivers to take or make a ride or delivery at this price.

Charges and Taxes

Drivers and Clients are required to pay VSB the applicable charges presented through the Platform and are responsible for paying all charges incurred under your VSB Account. The charges are in US Dollars ("USD") and inclusive of applicable taxes where required by law.

Account Registration

To access the functionality of the Platform, you must create an account with us. To register, you must be at least 18 years old or the age of legal majority in your country (depending on which is higher) and have the authority to enter into a contract with us and use the Platform. When you create an account, you must provide accurate and up-to-date information about yourself.

In order to prevent fraud, ensure your security, and comply with anti-money laundering, sanctions laws, and regulations (as applicable), we will request the information from you at the time of opening your Account to confirm your identity. We may also request you to update and verify your information from time to time.

We offer different types of accounts depending on whether you use the Platform as a Passenger or as a Driver. To create a Driver account, you must provide us with additional information and pass the verification process.

Maintaining Your Account

You must promptly update your details if they change. If your mobile number changes, notify us as soon as possible. If you no longer use your number, your mobile operator may issue it to a new person who, when using the Platform, may access your account.

You may not authorize others to use your account. You must maintain security of access to your device and secrecy of your login information. You will be responsible for all activity that occurs under your account. If you suspect that any third party knows your password or has accessed your account, please let us know by contacting VSB Support.

Account Termination

You may delete your account at any time. You can do it in the app settings or by contacting VSB. In some cases, we will be unable to terminate your account or may retain certain information for legitimate purposes, such as to prevent fraud, ensure the safety of our Users, comply with legal obligations, or manage any unresolved claims or disputes. Please refer to our Privacy Policy to understand how we treat your information after account termination.

Accounts that have been inactive for over 3 years may be deleted. We have the right to terminate or suspend access to your account.

4. License Grant and Restrictions and Intellectual Property

The Platform contains Content (such as design, images, sounds, texts, databases, computer codes, typefaces, data files, scripts, graphics, videos, advertising copy, URLs, technology, software, interactive features, formatting, "Look and feel" of the Platform, business processes, arrangement and enhancement, registered and unregistered trademarks and other similar objects) owned or licensed by VSB, which is protected by copyright, trademark, patent, trade secret, and other processes.

VSB grants you a limited, non-exclusive, non-transferrable, non-assignable, revocable license to: (a) access and use the Platform on your personal device only for the purpose of using the Platform; and (b) access and view any Content or materials that may be made available through the Platform, in each case only for your personal, non-commercial use. This Platform is exclusively for girls. All rights not expressly granted to you herein are reserved by VSB and/or VSB' licensee.

Prohibited Activities

You may not, and may not allow any other party to:

• Modify, reproduce, create derivative works based on the Platform;
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover or change the source code of the Platform;
• Frame, link to, or mirror any part of the Platform on any other server or wireless or internet-based device;
• Post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of VSB.

5. User Provided Content

You are responsible for the information, files, and images (collectively, "Content") that you make available on the Platform. You must ensure that your Content does not violate laws or anyone's rights. We do not undertake to review users' Content and do not assume any responsibility for it.

You may not provide defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive material, as determined by VSB in its sole discretion, whether or not such material may be protected by law. We may remove or restrict access to any Content if we reasonably believe it is in breach of these Terms or causes harm to VSB, our users, or other third parties.

We do not own your Content. By making Content available on the Platform, you grant VSB a perpetual, irrevocable, worldwide, transferable, royalty-free, and non-exclusive license to use your Content, including to reproduce, adapt, modify, translate, publish, publicly perform, publicly display, or make derivative works, perform and communicate your Content to the public, for the purposes of operating, developing, and providing the Platform.

You may rate and/or provide feedback to other users regarding the services you have received and/or provided. You must only provide true, fair, and accurate information in your reviews. If VSB considers that your review is untrue, unfair, inaccurate, offensive, or inappropriate, we may delete the review and/or deactivate your ability to post further reviews.

This Platform is exclusively for FEMALES.

6. Drivers

By providing the Services as a Driver on the Platform, you represent, warrant, and agree that:

• You possess a valid driver's license and all required permissions and authorizations to provide the Services, and that you are medically fit to provide the Services;
• You own, or have the legal right to operate, the vehicle you use to provide the Services, and such vehicle is in good operating condition;
• You will only provide the Services using the vehicle that has been reported to VSB;
• You will not permit anyone to accompany you in the vehicle while providing the Services;
• You will not provide the Services while under the influence of fatigue, alcohol, or drugs, or otherwise engage in unsafe or illegal behavior;
• You will not discriminate against Clients;
• You will not request any additional payment in addition to the price agreed on with the Client via the Platform;
• You will be responsible for calculating, charging, and paying all applicable taxes;
• You will comply with requirements of all applicable laws related to anti-money laundering, sanctions, anti-corruption, anti-bribery, and countering terrorist financing;
• You must successfully complete compulsory safety training as part of your registration with us;
• You must do all things necessary to comply with the requirements of airports, other transportation hubs, or government agencies.

This Platform is exclusively for girls.

7. Client and Driver Interactions

Each transportation and/or courier service provided by a Driver to a Client shall constitute a separate agreement between such persons. You acknowledge that independent service providers, including Drivers, are not actual agents, apparent agents, ostensible agents, or employees of VSB in any way. VSB is not responsible or liable for the acts and/or omissions of any Drivers or Clients and/or any transportation and/or courier services provided to Clients.

As a user of the Platform, you must treat other VSB users with respect. You can only communicate with other users for purposes related to the Services. You shall not share any unnecessary contact information. Communication should end when the Service is complete, unless it is to return a lost item. Any other communication may be seen as harassment and could lead to suspension or termination of your account.

We enable users to communicate on the Platform, for example, via comments, in-app chat, or in-app calls (availability of these features depends on your location). We have the right to monitor and record your communications with other users on the Platform to review compliance with these Terms.

Note: This Platform is exclusively for girls, meaning only female Drivers and female Clients are permitted to use the services.

8. Restricted Activities

You are prohibited from encouraging or engaging in any of the following activities:

• License, sublicense, sell, resell, transfer, assign, distribute, or commercially exploit the Platform or Software in any way;
• Use the Platform in a manner that infringes on any third party's rights;
• Use the Platform for any unauthorized purpose, contrary to these Terms;
• Reverse engineer, decompile, disassemble, or attempt to alter the Platform's source code;
• Run scripts or programs to scrape, index, survey, or collect data from the Platform;
• Use robots, spiders, or any other automated process to retrieve, index, or bypass the Platform's navigation structure;
• Attempt to gain unauthorized access to the Platform, its systems, or networks;
• Send spam or unsolicited communications;
• Store or transmit unlawful, obscene, threatening, libelous, or harmful materials;
• Engage in actions that could harm the reputation of VSB or disparage the company;
• Harass, stalk, threaten, or carry weapons towards others;
• Violate any applicable laws, statutes, ordinances, or regulations;
• Impersonate any person or entity or misrepresent your affiliation;
• Discriminate against anyone based on race, caste, creed, religion, nationality, disability, sexual orientation, gender, age, or other protected characteristics;
• Engage in illegal activities, including fraud, bribery, money laundering, or terrorist financing;
• Undermine the Platform's security or attempt unauthorized access;
• Extract any data or content from the Platform;
• Create liability for VSB or cause the company to be regulated as a transportation carrier or taxi service.

9. Suspension or Termination of Platform Access

We reserve the right to investigate any violations of these Terms or Additional Terms. We may, at our discretion and in compliance with applicable law, take any action we deem necessary, including, but not limited to:

• Removing, blocking, hiding, or deleting any User Provided Content;
• Disabling your account, suspending, or terminating your use of the Platform (in whole or in part);
• Reporting any suspected unlawful activity to law enforcement officials, regulators, or other relevant authorities.

If we terminate, limit, or suspend your access to the Platform, you are prohibited from registering or creating a new account under your own name, a fake name, a borrowed name, or the name of any third party, without VSB prior written consent.

Accounts that have been inactive for more than 3 years may be deleted. We reserve the right to suspend or terminate your account at our discretion.

10. Cooperation with Law Enforcement

You acknowledge that we have the right to investigate and prosecute violations of these Terms, including intellectual property, publicity and privacy rights infringement and Platform security issues, to the fullest extent of the law. We may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms. You acknowledge that we have no obligation to monitor your access to or use of the Platform, but we have the right to do so for the purpose of operating the Platform, to ensure your compliance with these Terms or to comply with applicable law.

11. Third-Party Services and Content

The Platform may be made available or accessed in connection with third-party services and content that VSB does not control. You acknowledge that different terms of use and privacy policies may apply to your use of such third-party services and content. VSB does not endorse such third-party services and content and in no event shall VSB, its affiliates and their officers, directors, employees, and agents be responsible or liable for any products or services of such third-party providers.

12. Indemnification

By agreeing to the Terms and/or using the Platform, you agree that you shall defend, indemnify and hold VSB, its officers, directors, members, employees, attorneys and agents harmless from and against claims, costs, damages, losses, liabilities and expenses (including attorneys' fees and costs) arising out of or in connection with: (a) your use of the Platform and/or Software in violation of these Terms; (b) your dealings with the drivers and Clients; (c) your interactions with third party providers, partners, advertisers and/or sponsors; (d) your violation or breach of any of the Terms; (e) your violation of any rights of any third party arranged via the Platform; or (f) your use or misuse of the Platform and/or Software.

13. Disclaimer of Warranties

VSB makes no representation, warranty, or guarantee as to the reliability, timeliness, quality, suitability, availability, accuracy or completeness of the Platform and/or the Software. VSB does not represent or warrant that (a) the use of the Platform and/or the Software will be secure, timely, uninterrupted or error-free; (b) the Platform will meet your requirements or expectations; (c) any stored data will be accurate or reliable; (d) errors or defects in the Platform and/or the software will be corrected; or (e) the Platform or the server(s) that make the Platform available are free of viruses or other harmful components.

The Platform is provided to you strictly on an "as is" basis.

14. Limitation of Liability

Any claims against VSB by you shall in any event be limited to the aggregate amount of all amounts actually paid by and/or due from you in utilizing the Platform during the event giving rise to such claims. In no event shall VSB and/or its affiliates and their officers, directors, employees, agents and licensors be liable to you or anyone for any direct, indirect, punitive, economic, future special, exemplary, incidental, consequential or other damages or losses of any type or kind (including personal injury, emotional distress and loss of data, goods, revenue, profits, use or other economic advantage).

VSB does not and will neither assess nor monitor the suitability, legality, ability, movement or location of any third-party providers including Drivers, advertisers and/or sponsors and you expressly waive and release VSB from any and all liability, claims or damages arising from or in any way related to the third-party providers. Responsibility for the decisions you make regarding services and products offered via the Platform rests solely with you.

15. AGREEMENT TO ARBITRATE DISPUTES

I. WHAT IS ARBITRATION?

ARBITRATION IS A WAY TO GET SPEEDY AND RELATIVELY INEXPENSIVE RESOLUTION OF DISPUTES BY SUBMITTING THEM TO AN ARBITRATOR INSTEAD OF THE ORDINARY PROCESS OF FILING A LAWSUIT IN A COURT OF LAW. ARBITRATION USES A NEUTRAL, TRAINED ARBITRATOR TO RESOLVE THE DISPUTE INSTEAD OF A JUDGE AND JURY.

BY AGREEING TO RESOLVE DISPUTES EXCLUSIVELY THROUGH BINDING ARBITRATION, YOU AND VSB AGREE THAT YOU AND VSB ARE WAIVING THE RIGHT TO A TRIAL IN A COURT WITH A JUDGE OR JURY. ARBITRATION IS BINDING — THAT IS, THE ARBITRATOR'S DECISION IS FINAL.

II. WHAT IS COVERED?

THIS AGREEMENT APPLIES TO ALL PAST, PRESENT, AND FUTURE LEGAL DISPUTES AND LEGAL CLAIMS BETWEEN YOU AND VSB THAT ARE NOW IN EXISTENCE OR THAT MAY ARISE IN THE FUTURE, INCLUDING, BUT NOT LIMITED TO LEGAL DISPUTES OR LEGAL CLAIMS ARISING OUT OF BODILY INJURY, PERSONAL INJURY, AND PROPERTY DAMAGE, OR RELATING IN ANY WAY TO THESE TERMS, THE PRIVACY POLICY, YOUR USE OF THE PLATFORM, AND ANY FEDERAL, STATE, OR LOCAL STATUTE, LAW, RULE, REGULATION OR ORDINANCE APPLICABLE TO THE RELATIONSHIP BETWEEN YOU AND VSB.

THIS AGREEMENT ALSO COVERS ANY DISPUTE BETWEEN YOU AND ANY OFFICER, DIRECTOR, BOARD MEMBER, AGENT, EMPLOYEE, AFFILIATE OF VSB, OR THIRD PARTY IF VSB COULD BE LIABLE, DIRECTLY OR INDIRECTLY, FOR SUCH DISPUTE.

III. CLAIMS MAY BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY

YOU AND VSB AGREE THAT YOU AND VSB WILL NOT FILE, JOIN, OPT-INTO, CONSENT TO, INTERVENE IN, OR OTHERWISE BECOME A PARTY IN ANY LAWSUIT OR COURT CASE THAT IS BROUGHT ON A CLASS, COLLECTIVE, REPRESENTATIVE, OR AGGREGATE BASIS THAT IN ANY WAY RELATES TO A DISPUTE.

THE PARTIES MAY BRING LEGAL CLAIMS ONLY IN THEIR INDIVIDUAL CAPACITY (NON-CLASS, NON-COLLECTIVE, NON-REPRESENTATIVE, AND NON-AGGREGATE BASIS).

THERE SHALL BE NO RIGHT OR AUTHORITY FOR ANY DISPUTES TO BE ARBITRATED ON A CLASS, COLLECTIVE, REPRESENTATIVE, OR AGGREGATE BASIS.

IV. HOW DOES ARBITRATION WORK?

V. GENERAL

• ENFORCEMENT: Any dispute over this Agreement is subject to arbitration under this Agreement.
• COMPLETE AGREEMENT: This Agreement is the full and complete agreement relating to the formal resolution of disputes.
• SEVERABILITY: In the event any portion of this Agreement is deemed invalid, void, or unenforceable, the remainder will be valid and enforceable.
• NO MODIFICATION: This Agreement cannot be modified except in writing agreed to by both parties.

16. Governing Law

These Terms, your rights and the rights of VSB within these Terms shall be governed by and construed in accordance with the laws of Florida, without regard to the choice or conflict of law principles of any jurisdiction, except as may be otherwise provided in Section 15 above or in supplemental terms applicable to your region.

Any dispute, claim, or controversy arising out of or relating to incidents or accidents resulting in personal injury (including but not limited to sexual assault or harassment claims) that you allege occurred in connection with your use of the Platform, whether before or after the date you agreed to the Terms, shall be governed by and construed in accordance with the laws of the state in which the incident or accident occurred.

Terms Applicable for Apple iOS

If you are accessing or using the App through Apple iOS Apple App Store, the following applicable terms and conditions are applicable to you:

• You acknowledge that these Terms are entered into between you and VSB and that Apple, Inc. ("Apple") is not a party to these Terms other than as a third-party beneficiary;
• Any licenses granted to you by these Terms are subject to the permitted Usage Rules set forth in the App Store Terms of Service;
• You acknowledge that VSB, and not Apple, is responsible for providing the App and Materials thereof;
• Apple has no obligation to furnish any maintenance or support services to you with respect to the App;
• Apple will have no warranty obligation with respect to the App;
• You acknowledge that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms;
• Your use of real time route guidance on the App is at your sole risk. Location data may not be accurate.

Terms Applicable for Google Play

If the App is provided to you through Google Inc. Google Play, the following terms and conditions apply to you:

• You acknowledge that Google is not responsible for providing support services for the App;
• If any of the terms and conditions in these Terms are inconsistent or in conflict with the Google Play Developer Distribution Agreement, the terms and conditions of Google's Google Play Developer Distribution Agreement will apply to the extent of such inconsistency or conflict.
